By accessing or using BizeBinder ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

BizeBinder is a web-based application that allows small businesses to create, organize, and manage digital operations manuals. The Service includes features such as tabbed sections, entry creation, file attachments, AI-assisted content organization, and team sharing.

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

• Upload, store, or share content that is illegal, harmful, threatening, abusive, or defamatory.
• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Attempt to gain unauthorized access to any part of the Service or other users' accounts.
• Use the Service to distribute malware, viruses, or other malicious code.
• Engage in any activity that interferes with or disrupts the Service.

5. Your Content

You retain all ownership rights to the content you create, upload, or store in BizeBinder ("Your Content"). By using the Service, you grant us a limited license to:

• Store, display, and transmit Your Content as necessary to provide the Service.
• Make backups and copies for operational and disaster-recovery purposes.

We do not claim ownership of Your Content, and we will not use it for any purpose beyond providing the Service to you, except with your explicit consent or as required by law.

6. Payment and Billing

BizeBinder offers both free and paid plans:

• Free plan: Available at no cost, with limited features and usage quotas.
• Paid plans: Billed on a subscription basis. You agree to pay all applicable fees.

Subscriptions automatically renew unless canceled. You may cancel at any time. Refunds are provided at our discretion, typically for billing errors or within 14 days of initial purchase for annual plans.

7. Intellectual Property

The BizeBinder platform, including its software, design, trademarks, and logos, is owned by BizeBinder and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service.
• Reverse-engineer or attempt to extract the source code.
• Use the BizeBinder name or logo without written permission.

8. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms.
• Fraudulent or illegal activity.
• Non-payment of fees (for paid accounts).
• Extended inactivity (free accounts may be removed after 12 months of inactivity).

You may terminate your account at any time by contacting us or using the account deletion feature in the app. Upon termination, your data will be permanently deleted within 30 days, except for information we are legally required to retain.

9. Limitation of Liability

To the maximum extent permitted by law:

• BizeBinder is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
• Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless BizeBinder, its officers, directors, employees, and agents from any claim, liability, damage, or expense arising from your use of the Service, your Content, or your violation of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the courts of Delaware.
